Terms of Service

By creating an account or registering a school on JourneyBase ("Service"), you ("you") agree to these Terms of Service. If you are registering on behalf of a driving school or other organisation, you confirm you have the authority to bind that organisation to these terms.

1. Ownership

JourneyBase — including its software, source code, design, database structure, and all underlying technology (the "Platform") — is and remains the exclusive property of Empath Technology Solutions. Nothing in these Terms grants you any ownership interest in the Platform. You receive only a limited, non-exclusive, non-transferable right to access and use the Service for your own internal business purposes.

2. Service Status

The Service is in active development. It may contain bugs or incomplete features, and features may be added, changed, or removed. The Service is provided "as is" and "as available", without warranty of any kind, whether express or implied, including any warranty of merchantability, fitness for a particular purpose, or non-infringement. Empath does not guarantee any particular level of uptime, availability, or data retention. You are responsible for maintaining your own backups of any data you consider critical.

3. Support

Support requests can be submitted via the in-app "Send feedback" option, or by emailing jason.goliath@empathtechnologysolutions.com.

Trial accounts are supported on a best-effort basis. We aim to respond to and resolve issues raised during a free trial, but trial support is not treated with the same urgency as an active paying subscription, and no response time is guaranteed.

Paying customers (an active subscription on any paid plan) receive priority support, with issues affecting core functionality treated as urgent.

This section does not constitute a formal Service Level Agreement (SLA); no specific response or resolution time is contractually guaranteed unless separately agreed with you in writing.

4. Payment Terms (Paid Plans)

4.1. Paid plans are billed monthly in advance, in South African Rand, at the price shown on our Pricing page at the time you subscribe. If we change that price, we will give you reasonable notice before it applies to your next billing cycle; continuing to use a paid plan after that point constitutes acceptance of the new price.

4.2. Subscriptions renew automatically each month until cancelled. You may cancel at any time by contacting jason.goliath@empathtechnologysolutions.com; cancellation takes effect at the end of the billing period you've already paid for, and no refund is given for the unused portion of that period except where required by law.

4.3. If a payment fails or isn't received, we may suspend or downgrade your access to paid features until it's resolved (see Section 12).

5. Confidentiality

You agree to keep confidential, and not disclose to any third party, any non-public features, screenshots, documentation, pricing, or other materials relating to the Service that you access through your use of it, except with Empath's prior written consent. You agree not to copy, reverse-engineer, decompile, or attempt to extract the source code of the Service, or to use your access to build a competing product.

6. Acceptable Use

You agree not to:

(a) use the Service for any unlawful purpose, or upload, store, or share content you do not have the lawful right to upload, store, or share;
(b) attempt to gain unauthorised access to any part of the Service, another school's data, or an account that is not your own;
(c) use the messaging, announcement, or feedback features to send spam, unsolicited advertising, or abusive content;
(d) interfere with or disrupt the integrity or performance of the Service, including through automated scraping, load-testing, or security testing without Empath's prior written consent; or
(e) use the Service to build, or inform the building of, a competing product.

7. Feedback

If you provide Empath with any feedback, suggestions, or bug reports about the Service, you grant Empath a perpetual, royalty-free, worldwide licence to use that feedback for any purpose, including improving the Service, without any obligation to compensate or credit you.

8. Your Content

You retain ownership of the data you input into the Service (learner records, bookings, documents, and similar) ("Your Content"). You grant Empath a licence to host, store, and process Your Content solely for the purpose of providing and improving the Service to you.

9. Data Protection (POPIA)

If you upload personal information relating to learners, instructors, or other individuals, you confirm that you have the necessary rights and lawful basis to do so under the Protection of Personal Information Act, 2013 ("POPIA"), and that you will use the Service in compliance with POPIA and any other applicable data protection law. Empath will process such personal information solely for the purpose of providing the Service, and will take reasonable technical and organisational measures to protect it.

10. Indemnification

You agree to indemnify and hold Empath harmless from any claim, loss, or liability (including reasonable legal costs) arising from: (a) Your Content, including any claim that it infringes a third party's rights or was uploaded without a lawful basis; (b) your breach of these Terms; or (c) your unlawful or unauthorised use of the Service.

11. Limitation of Liability

To the maximum extent permitted by law, Empath shall not be liable for any indirect, incidental, or consequential loss arising from your use of the Service, including loss of data, revenue, or business opportunity. Empath's total liability arising out of your use of the Service shall not exceed the amount (if any) you paid to access it in the preceding 12 months.

12. Suspension & Termination

12.1. Empath may suspend or terminate your access to the Service, with or without notice, if you breach these Terms, a payment is overdue and unresolved after reasonable notice, or we reasonably believe your use of the Service poses a risk to Empath, other users, or the Service itself.

12.2. Empath may also suspend, modify, or discontinue the Service generally, or your access to it, at any time, for any reason, with reasonable notice where practical.

12.3. You may stop using the Service at any time. On termination, Empath may delete Your Content, subject to any separate export/retention commitment made to you in writing.

13. General

Assignment. You may not assign or transfer these Terms without Empath's prior written consent. Empath may assign these Terms in connection with a merger, acquisition, or sale of assets.

Severability. If any provision of these Terms is found unenforceable, the remaining provisions continue in full force.

Entire Agreement. These Terms (together with any order form or plan you've agreed to) are the entire agreement between you and Empath regarding the Service, and supersede any prior agreement or understanding on the subject.

Force Majeure. Empath is not liable for any failure or delay caused by events outside its reasonable control, including outages of third-party infrastructure providers.

Third-Party Services. The Service integrates with third-party providers (e.g. PayFast for payments, Google for sign-in). Empath is not responsible for the availability or performance of those third-party services.

14. Changes to These Terms

Empath may update these Terms from time to time. Continued use of the Service after an update constitutes acceptance of the revised Terms.

15. Governing Law

These Terms are governed by the laws of the Republic of South Africa, and you submit to the non-exclusive jurisdiction of the South African courts.
